Sources
- CADE / SEI: merger filings and public case documents, the basis for every record in this edition.
- Federal Revenue Service: registration data for the parties by company number, used to separate acquirer, target and corporate root.
- JK Capital classification: sector taxonomy and transaction type assigned by JK Capital on top of the public data; these are not official CADE information.
Methodology
- A single case corresponds to one deal.
- The date used is the initial filing date; where unavailable, the date of the first available document.
- Each proceeding corresponds to one transaction and is assigned one primary sector. The target or transaction object sector is used whenever available. If the acquired side cannot be classified, the buyer's sector is used, followed by another identified party as the final fallback.
- Acquirer, target and company number are recorded in separate fields.
In some transactions, the available sub-sector reflects the company's corporate nature, such as “holding of non-financial institutions” or “other holding companies”. These classifications indicate that the company operates as an investment vehicle, but do not necessarily identify the activity of the controlled assets. In such cases, the transaction remains in the sector total, but must not be used to claim that a specific link in the chain grew or shrank.
Limitations
- The scope is merger filings submitted to CADE; the edition does not represent the whole Brazilian M&A market.
- The status of each case reflects the position available in the source snapshot indicated above.
- Restricted, confidential or sealed versions are out of scope.
